Assistant Vice President, Legal Counsel

Key Responsibilities

Supporting investment, business development and product success strategies:

  • Support investment and product teams with direct inputs to negotiations on all investment-related transactions and agreements
  • Role will include launching funds, investment deal flow, and all regulatory and compliance follow on
  • Fund transactions, corporate transactions, project management, outside counsel management, oversight of other transactions and document management
  • Review and/or draft legal documents including NDA, fund formation documents, investment agreements and shareholder agreements 
  • Engage with various investment and product teams to assist them in managing and executing legal aspects of transactions and projects
  • Highlight legal issues related to cross-border transactions to investment teams and work with outside counsel on solutions, and related transaction documents

Provide legal support for fund management activities such as:

  • Review fund offering documents including PPM, management agreements and fund subscription agreements
  • Review and negotiate custody and fund administrative agreements, and legal agreements with other service providers
  • Review brokerage-related agreements
  • Assist with contract drafting and negotiation across the business and product units
  • Ad-hoc legal support for group companies as assigned by supervisor

Requirements

  • A recognised degree in Law (LLB) and be admitted to Singapore or other Commonwealth Bar
  • Corporate experience with 2-4 PQE
  • Have knowledge on Securities and Futures Act, Financial Advisers Act, licensing and regulatory reporting requirements, and MAS Notices and Guidelines for Singapore fund management companies
  • Well organised, detail-oriented and resourceful
  • legal experience gained in fund management is a big plus
  • Speak, read and write Chinese is essential
  • Has self-initiative and possesses strong interpersonal skills (verbal and written), and ability to work well under pressure
  • Willing to learn and take ownership on tasks assigned
  • Ability to work independently, but with a team-oriented mentality
  • Ability to manage numerous projects simultaneously
  • Well-organised and detail-oriented
